These Terms and Conditions govern the use of thailand-ai-innovate's website and professional mediation services. By contacting us, submitting an enquiry, or entering into a mediation programme agreement, you confirm that you have read and accepted these terms. 2. Acceptance of Terms

By using our website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms. These terms apply alongside any Programme Agreement signed in connection with a specific mediation engagement.

3. Service Description

thailand-ai-innovate provides professional labour dispute mediation services in Bangkok, Thailand. Our services currently comprise three structured programmes:

Each programme is described in full on our website and in programme-specific materials provided before engagement. We reserve the right to decline to accept an engagement where we consider it unsuitable for mediation, without being required to provide detailed reasons.

Our services are delivered in Bangkok, Thailand. Remote participation may be accommodated at our discretion but does not alter the jurisdiction or governing law applicable to these terms.

4. Mediation-Specific Terms

Voluntary participation

Participation in mediation is voluntary. Any party may withdraw from a programme at any time by giving written notice to thailand-ai-innovate. Withdrawal does not entitle the withdrawing party to a refund of fees paid unless otherwise specified in the Programme Agreement.

Confidentiality

All parties to a mediation programme are required to sign a confidentiality agreement before the first session. The terms of that agreement govern the use and disclosure of information shared during the programme. Nothing disclosed in mediation sessions may be used as evidence in any subsequent court or tribunal proceedings without the written consent of all parties and thailand-ai-innovate.

Mediator role

Our mediators are neutral facilitators. They do not provide legal advice, represent any party, or make decisions on the merits of any dispute. Parties are encouraged to obtain independent legal advice before signing any settlement agreement.

Settlement documents

Where settlement drafting is included in a programme (Multi-Party Programme), the documents produced represent the parties' own agreement as recorded during the mediation. thailand-ai-innovate does not act as solicitor to either party in connection with those documents. Parties are responsible for arranging independent legal review if they wish to verify the documents' legal effect before signing.

6. Payment Terms

All fees are denominated in Thai Baht (THB). Payment schedules are set out in the Programme Agreement. For the Initial Consultation, full payment is required before the session. For multi-session programmes, fees may be paid in agreed instalments. We accept bank transfer and such other payment methods as are specified in the Programme Agreement.

Fees paid for sessions already completed are non-refundable. Where a programme is terminated early at the initiative of one party, any unused portion of the fee may be refunded at thailand-ai-innovate's reasonable discretion, taking into account preparation and administrative work already performed.

7. Intellectual Property

All content on our website — including text, design, and structural elements — is the property of thailand-ai-innovate. You may not reproduce, distribute, or create derivative works from this content without our prior written consent. Session Records produced during a programme are shared documents and may be used by the parties for the purposes of the mediation. They may not be disclosed publicly or used in legal proceedings except as permitted under the Programme Agreement.

8. Disclaimers

Mediation does not produce a legally binding outcome unless the parties choose to formalise their agreement — for example, by submitting it to the Labour Court for approval. We do not warrant that any particular outcome will be reached through the mediation process. The suitability of mediation for any specific matter depends on circumstances that vary between cases.

Information provided on our website is for general informational purposes only and does not constitute legal advice. We recommend that parties obtain independent legal advice before and after participating in a mediation programme.

9. Limitation of Liability

To the fullest extent permitted by Thai law, thailand-ai-innovate's liability in connection with any programme shall not exceed the total fees paid by the client for that programme. We shall not be liable for indirect, consequential, or special damages arising from the mediation process or its outcome, including loss of business, loss of anticipated savings, or reputational harm.

Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable Thai law.

10. Force Majeure

We shall not be in breach of these terms where a failure to perform is caused by circumstances beyond our reasonable control, including natural events, government action, public health measures, or failures of infrastructure. We will notify affected clients as soon as reasonably practicable and will endeavour to reschedule sessions with minimal disruption.

11. Indemnification

You agree to indemnify thailand-ai-innovate against any claims, losses, or costs arising from your breach of these terms, your breach of the Programme Agreement, or any misrepresentation made by you in connection with the mediation process.

12. Termination

Either party may terminate a programme by giving written notice to thailand-ai-innovate. thailand-ai-innovate may terminate a programme with immediate effect if a party engages in conduct that makes continued mediation impractical or unsafe, or if any party materially breaches the Programme Agreement. Sections relating to confidentiality, payment, intellectual property, limitation of liability, and governing law survive termination.

13. Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from these terms that cannot be resolved informally shall be subject to the jurisdiction of the courts of Bangkok, Thailand.

We encourage clients to raise concerns with us directly in the first instance. We will endeavour to address any reasonable complaint within 14 business days.

14. General Provisions

These terms, together with any applicable Programme Agreement, constitute the entire agreement between you and thailand-ai-innovate with respect to our services. If any provision is found to be unenforceable, it shall be read down to the minimum extent necessary to make it enforceable; the remainder of the terms shall continue in full effect. Our failure to enforce any right under these terms does not constitute a waiver of that right. These terms may not be assigned by you without our prior written consent.

15. Changes to These Terms

We may update these terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be communicated to active programme clients by email where practicable. Continued engagement with our services following the effective date of a change constitutes acceptance of the updated terms.
